Terms of Service

Welcome to GeoToken. These Terms of Service (“Terms”) govern your access to and use of GeoToken's mobile application, website, and related services (collectively, the “Services”). By creating an account, scanning a token, or using any part of GeoToken, you agree to be bound by these Terms. If you do not agree, do not use our Services.

These Terms constitute a legally binding agreement between you and GeoToken Inc. (“GeoToken,” “we,” “us,” or “our”).

1. Eligibility and Account Registration

1.1 Age Requirements

You must be at least 13 years old to use GeoToken (or 16 in the European Union, or the minimum age required in your jurisdiction). If you are under 18, you must have parental or guardian consent to use the Services. By using GeoToken, you represent that you meet these age requirements.

1.2 Account Information

When creating an account, you must:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized account access
• Take responsibility for all activities that occur under your account

1.3 Account Ownership

You may not transfer, sell, or share your account with others. Each account is personal to the registered user. Creating multiple accounts to circumvent restrictions or bans is prohibited.

2. Acceptable Use

2.1 Permitted Uses

You may use GeoToken to:

• Purchase and register physical GeoToken medallions
• Plant tokens at legal, accessible locations
• Scan and discover tokens placed by others
• Upload photos, videos, and stories to token journeys
• Connect with friends and communicate through our messaging system
• Share token journeys on social media

2.2 Prohibited Conduct

You agree NOT to:

• Violate Laws: Use the Services for any illegal purpose or violate local, state, national, or international law
• Infringe Rights: Upload content that violates copyright, trademark, privacy rights, or other intellectual property
• Harass Others: Bully, threaten, stalk, or harass other users
• Post Harmful Content: Upload content that is violent, hateful, pornographic, discriminatory, or otherwise offensive
• Spam: Send unsolicited advertisements, promotional materials, or repetitive messages
• Spread Misinformation: Post false information intended to deceive or mislead
• Impersonate: Pretend to be another person or entity, or falsely claim affiliation with any person or organization
• Interfere with Services: Attempt to hack, reverse engineer, disrupt, or compromise the security of the Services
• Scrape Data: Use bots, scrapers, or automated tools to collect data from GeoToken without permission
• Trespass: Plant or discover tokens on private property without permission, in dangerous locations, or in violation of local regulations
• Sell Accounts: Transfer, sell, or rent your account to third parties
• Circumvent Restrictions: Attempt to bypass security measures, access controls, or account suspensions

3. Content and Intellectual Property

3.1 Your Content Ownership

You retain all ownership rights to content you create and upload (“User Content”), including photos, videos, captions, and stories. However, by posting User Content to GeoToken, you grant us:

• A worldwide, non-exclusive, royalty-free, transferable license
• To use, reproduce, distribute, display, and perform your User Content
• In connection with the Services and our business operations
• Including promotional materials, marketing, and public-facing web pages

This license ends when you delete your User Content or close your account, except for content shared with others (which may persist in backups for up to 90 days).

3.2 Content Representations

By posting User Content, you represent and warrant that:

• You own all rights to the content or have necessary permissions
• Your content does not violate any third-party rights
• Your content does not violate these Terms or applicable laws
• You are authorized to grant the license described above

3.3 GeoToken's Intellectual Property

All aspects of the Services, including but not limited to the app design, logo, branding, code, features, and functionality, are owned by GeoToken and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on our intellectual property without explicit written permission.

3.4 Content Moderation

We reserve the right (but have no obligation) to monitor, review, and remove User Content that violates these Terms or is otherwise objectionable. We may remove content without notice or liability.

3.5 Copyright Complaints (DMCA)

If you believe content on GeoToken infringes your copyright, email support@geotoken.world with:

• Identification of the copyrighted work
• URL or description of the infringing material
• Your contact information
• A statement of good faith belief that use is unauthorized
• A statement under penalty of perjury that the information is accurate
• Your physical or electronic signature

4. Token Etiquette and Safety

4.1 Placement Guidelines

When planting tokens:

• Respect private property - obtain permission before placing tokens on private land
• Follow all local laws, regulations, and park rules
• Do not place tokens in dangerous, illegal, or restricted areas
• Consider environmental impact - do not damage natural habitats
• Avoid locations that could cause traffic hazards or safety concerns
• Do not trespass or encourage others to trespass

4.2 Safety Disclaimer

GeoToken is a location-based app that may lead you to outdoor environments. When discovering tokens:

• Use common sense and prioritize your safety
• Be aware of your surroundings and weather conditions
• Do not engage in risky behavior to find tokens
• Respect wildlife and natural environments
• Follow all safety guidelines when exploring outdoors

GeoToken is not responsible for injuries, damages, or losses incurred while using the Services. You explore at your own risk.

5. Purchases and Payments

5.1 Physical Token Purchases

Physical GeoToken medallions are available for purchase through our website. When you purchase tokens:

• All prices are in the currency indicated at checkout
• You agree to pay all applicable fees, taxes, and shipping costs
• Payment is processed securely through third-party payment providers
• Orders are subject to availability and acceptance

5.2 Refunds and Returns

Physical products may be returned within 30 days of delivery if unused and in original condition. Shipping costs are non-refundable. Digital services and activated tokens are non-refundable. Contact support@geotoken.world for returns.

5.3 Future Premium Features

We may introduce premium features, subscriptions, or in-app purchases in the future. If introduced, those features will have separate terms and pricing which will be clearly disclosed before purchase.

6. Account Suspension and Termination

6.1 Our Right to Suspend or Terminate

We may suspend or terminate your account at any time, with or without notice, if:

• You violate these Terms
• You abuse other users or compromise platform safety
• Your account is inactive for an extended period
• We are required to do so by law
• We cease operating the Services

We will make reasonable efforts to provide advance notice when feasible, but immediate suspension may be necessary for security or legal reasons.

6.2 Your Right to Terminate

You may close your account at any time by contacting support@geotoken.world. Upon termination:

• Your access to the Services will be revoked
• Most personal data will be deleted within 30 days
• User Content you posted to tokens may remain visible to others (as part of shared journey history)
• Some data may be retained as required by law or for legitimate business purposes

6.3 Effect of Termination

Upon termination, all licenses granted to you terminate, and you must cease using the Services. Provisions that by their nature should survive termination will remain in effect, including intellectual property rights, disclaimers, indemnification, and limitation of liability.

7. Disclaimers and Limitation of Liability

7.1 “As Is” and “As Available”

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not guarantee that:

• The Services will be uninterrupted, error-free, or secure
• Defects will be corrected
• Content will be accurate, complete, or reliable
• The Services will meet your specific requirements
• Physical tokens will be found or remain in their original locations

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEOTOKEN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• PERSONAL INJURY, PROPERTY DAMAGE, OR EMOTIONAL DISTRESS
• DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICES
• DAMAGES ARISING FROM USER CONTENT OR ACTIONS OF OTHER USERS
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA

IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) $100 USD.

Some jurisdictions do not allow exclusion of implied warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless GeoToken, its affiliates, officers, directors, employees, agents, and partners from any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• User Content you post or upload
• Your interactions with other users
• Your placement or discovery of physical tokens

We reserve the right to assume exclusive defense and control of any matter subject to indemnification. You will cooperate fully with us in asserting any available defenses.

9. Dispute Resolution and Arbitration

9.1 Informal Resolution

Before filing a legal claim, you agree to first contact us at support@geotoken.world to attempt informal resolution. Provide a description of the dispute, your contact information, and desired resolution. We will respond within 30 days.

9.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration rather than in court, except:

• Small claims court disputes within jurisdictional limits
• Injunctive or equitable relief for intellectual property infringement

Arbitration will be conducted by a neutral arbitrator under the rules of the Canadian Arbitration Association (or equivalent in your jurisdiction). Arbitration will occur in Newfoundland & Labrador, Canada, or remotely by video conference. Each party bears their own costs unless the arbitrator awards costs to the prevailing party.

9.3 Class Action Waiver

You agree to bring disputes on an individual basis only. You waive the right to participate in class actions, class arbitrations, or representative actions. The arbitrator may not consolidate claims or conduct class proceedings.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of Newfoundland & Labrador, Canada, without regard to conflict of law principles. Any disputes not subject to arbitration will be resolved in the courts of Newfoundland & Labrador.

For EU users: Nothing in these Terms affects your statutory rights under EU consumer protection laws.

11. Changes to These Terms

We may update these Terms periodically to reflect changes in our Services, business practices, or legal requirements. Material changes will be announced via:

• In-app notification
• Email to registered users
• Prominent notice on our website

Changes take effect 14 days after posting (or immediately for legal or security reasons). The “Last Updated” date will reflect the revision. Continued use after changes constitute acceptance. If you disagree, discontinue use and close your account before changes take effect.

12. General Provisions

12.1 Entire Agreement

These Terms, along with our Privacy Policy and any additional guidelines or rules posted in the app, constitute the entire agreement between you and GeoToken regarding the Services and supersede all prior agreements.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, or severed if modification is not possible. The remaining provisions will remain in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

12.5 Force Majeure

We are not liable for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor strikes, internet outages, or government actions.

12.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly stated.
